This Terms of Use Agreement (“Agreement”) is a legally binding agreement between you (referred to as “you” or “your”) and GetFreePrEP.com, Inc. (“GetFreePrEP”, “we”, “us”, or “our”). This Agreement governs your use of GetFreePrEP’s website and online services (collectively referred to as the “Platform”).

IMPORTANT: THE PLATFORM IS NOT FOR MEDICAL EMERGENCIES. IN CASE OF EMERGENCY, CALL 911 OR YOUR LOCAL EMERGENCY NUMBER.

By using the Platform, you agree to the terms of this Agreement. If you do not agree, do not use the Platform. Your use of the Platform is subject to an arbitration provision in Section 10, requiring all claims to be resolved via binding arbitration.

1. Revisions to this Agreement

We may update this Agreement from time to time and will post the updated version on the Platform. Changes will take effect immediately unless otherwise specified. Continued use of the Platform signifies your acceptance of the revised Agreement.


2. License to Use the Platform

A. Ownership

All content created and posted by GetFreePrEP, including the design, layout, and graphics of the Platform (“GetFreePrEP Content”), are owned by or licensed to GetFreePrEP and are protected by intellectual property laws. All rights not expressly granted are reserved.

B. License

You are granted a limited, revocable, non-exclusive, non-transferable license to use the Platform in accordance with this Agreement. Unauthorized use may result in termination of access. Content or services on the Platform may be modified or discontinued without notice. Relevant health records will remain accessible to you even if the Platform is modified or terminated, as outlined in the relevant Notice of Health Information Privacy Practices.

C. Restrictions on Your Use of the Platform

You agree that when using the Platform, you will not:

Alter or modify any GetFreePrEP Content or notices on the Platform.Introduce any harmful software or code.Commit fraud, impersonate another person, or conduct unlawful activities.Reverse engineer or attempt to derive the source code of the Platform.Use automated tools to collect information from the Platform.Misappropriate any proprietary rights of any party.Submit content that violates any third-party rights or is unlawful, harmful, or offensive.Use the Platform to create or sell a similar service.Create more than one account on the Platform.

GetFreePrEP may suspend or terminate your access to the Platform if you violate these restrictions.

D. Geographic Restrictions

The Platform is intended for use by individuals located in the United States. Compliance with local laws is your responsibility if accessing the Platform from outside the U.S. Telehealth services are only available in states where we facilitate such services.

E. User Accounts

You are responsible for maintaining the confidentiality of your account password and for all activities under your account. If your account is compromised, change your password immediately and contact us.


3. Privacy

Our

Privacy Policy

describes how we collect and use your personal information through the Platform. Should a Community Based Organization (CBO) be unable to provide services, we may share your information with another CBO to ensure continuity of care.


4. User Content and Suggestions

A. License to Your Content

By submitting content (“Your Content”) to the Platform, you grant GetFreePrEP a worldwide, perpetual, non-exclusive, royalty-free license to use, reproduce, and distribute Your Content. You warrant that you have the necessary rights to Your Content.

B. Responsibility for Your Content

You are solely responsible for Your Content. We reserve the right to monitor, delete, or modify any of Your Content at our discretion.

C. Your Suggestions

Suggestions provided to us are licensed on similar terms as Your Content and may be used to improve our services and products.


5. Electronic Communications

You agree to receive communications from us via email or text to the contact information you provided. This may include advertising messages sent to a mobile phone. Message and data rates may apply. To stop receiving messages, reply STOP to any text message.


6. Not a Medical Provider

GetFreePrEP is not a healthcare provider. Medical advice is only provided through direct interactions with healthcare providers on the Platform.


7. Disclaimer of Warranties

The Platform is provided “as is” without warranties of any kind. We do not guarantee uninterrupted service or accuracy. In some jurisdictions, implied warranties cannot be excluded or limited.


8. Limitation of Liability

GetFreePrEP and its affiliates are not liable for any damages related to your use of the Platform. The maximum liability is limited to $1000 or your direct, provable damages.


9. Indemnification

To the fullest extent permitted by applicable law, you agree to hold harmless, indemnify, and defend GetFreePrEP and its affiliates from any claims arising from your use of the Platform or violation of this Agreement.


10. Agreement to Arbitrate

A. Choice of Law

This Agreement is governed by the laws of Georgia, U.S.

B. Arbitration Procedure

Disputes are resolved by binding arbitration in Atlanta, Georgia, under the American Arbitration Association’s rules. Class actions and jury trials are waived.

C. Injunctive Relief

Parties may seek preliminary injunctive relief in court to enforce this Agreement pending arbitration.


11. Miscellaneous Terms

A. Complete Agreement

This Agreement constitutes the entire agreement between you and GetFreePrEP regarding the Platform.

B. Severability

If any part of this Agreement is invalid, the remaining parts remain in effect.

C. Headings

Headings are for convenience and do not affect interpretation.

D. No Waivers

Failure to enforce any provision does not constitute a waiver.

E. No Assignments

You cannot assign your rights or obligations without our consent.

F. Notices

Notices to us can be sent via email or mail. We may send notices electronically.
